Terms & Conditions
Last updated: October 6, 2026
Please read these Terms & Conditions ("Terms") carefully before using the MSP Disposal platform operated by MinosTech LLC ("Company," "we," "us," or "our"). By accessing or using our platform, you ("User," "you," or "your") agree to be bound by these Terms. If you do not agree, you must immediately cease all use of the platform.
1. Acceptance of Terms
By creating an account, accessing, browsing, or using any part of the MSP Disposal platform, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement on behalf of yourself or the entity you represent, and accept these Terms in full. These Terms constitute a legally binding agreement between you and MSP Disposal.
2. Platform Overview
MSP Disposal is a B2B marketplace for the responsible resale, recycling, and disposal of enterprise IT equipment, including but not limited to servers, laptops, networking gear, hard drives, and other electronics. The platform connects consignors, brokers, licensees, and buyers globally. MSP Disposal acts solely as a platform facilitator and is not a party to any transaction between buyers and sellers unless expressly stated.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use. MSP Disposal reserves the right to suspend or terminate accounts that violate these Terms, at our sole discretion, without prior notice or liability to you.
Driver accounts. Driver accounts are created by MSP Disposal for the drivers who carry out Box Request Pickups. They are personal to the driver, may not be shared or transferred, and may be deactivated by MSP Disposal at any time. Drivers may use the platform only for the pickups assigned to them.
4. Lot Listings & Bidding
- All lot descriptions are provided by third-party consignors and sellers. MSP Disposal makes no representations or warranties regarding the accuracy, completeness, or condition of listed items.
- Winning bids are legally binding commitments to purchase. Failure to complete a purchase may result in account suspension and forfeiture of any deposits.
- MSP Disposal reserves the right to remove, modify, or cancel any listing at its sole discretion without liability.
- All items are sold "AS IS, WHERE IS" without any warranty of merchantability, fitness for a particular purpose, or non-infringement.
5. Payments & Fees
Payments must be completed within the timeframe specified on the lot or invoice. Late payments may result in account suspension, late fees, and/or legal collection action. MSP Disposal charges platform and processing fees as outlined in your account agreement. All fees are non-refundable unless expressly stated otherwise.
6. Shipping & Logistics
Buyers are responsible for arranging and paying for shipping unless otherwise stated. MSP Disposal partners with approved carriers (FedEx, freight providers) and is not liable for carrier delays, damages, losses, or theft once items are tendered to the carrier. Title and risk of loss pass to the buyer upon carrier pickup.
Box Request Pickups
- When you request a pickup, you must provide an accurate pickup address, on-site contact and access details, and have the items packed and ready in the box types and quantities you requested.
- Preferred dates and time windows are requests, not guarantees. Scheduled dates, time windows and estimated arrival times shown on the platform are estimates and may change because of traffic, weather, other pickups or other circumstances.
- You may edit or cancel a pickup until a driver is on the way. After that, contact MSP Disposal to make changes.
- A driver may mark a pickup as unable to complete if the site is closed, access is unavailable or unsafe, or the items are not ready. MSP Disposal will contact you to reschedule.
- The box counts, photos and any signature recorded by the driver at pickup form the record of what was collected. Please review them and contact us promptly if you believe they are incorrect.
- Custody of the items passes to MSP Disposal when the driver marks the pickup as completed, subject to the limitations in these Terms. You remain responsible for removing or sanitizing data on equipment before pickup, as described in Section 9.
Communications & Conduct
Pickup chats and phone numbers shared for a pickup may be used only to coordinate that pickup. You agree to communicate respectfully and not to harass, threaten or spam other users, or to use their contact details for any other purpose. MSP Disposal may review pickup chats to provide support, resolve disputes and enforce these Terms.
Driver Safety
Drivers must obey all traffic laws and must not read or type in the app while driving; use the app only when it is safe to do so. Location sharing is required while a pickup is active. MSP Disposal may suspend driver access that is used unsafely or in breach of these Terms.

MSP DISPOSAL DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
8. Compliance & Export Controls

9. Data Destruction
MSP Disposal offers certified data destruction services. Certificates of destruction (including KillDisk certificates) are provided where applicable. However, it is the consignor's sole responsibility to verify that all sensitive data has been appropriately handled before transfer. MSP Disposal is not liable for any data breach, exposure, or loss arising from consignor's failure to sanitize equipment prior to consignment.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO MSP DISPOSAL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
12. Indemnification
You agree to indemnify, defend, and hold harmless MSP Disposal, MinosTech LLC, and their officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any rights of a third party; (d) any content you submit or transmit through the platform; or (e) your negligent or wrongful conduct.
13. Assumption of Risk
You acknowledge that the purchase, sale, handling, and disposal of IT equipment involves inherent risks, including but not limited to data exposure, environmental hazards, electrical hazards, and financial loss. You voluntarily assume all such risks and agree that MSP Disposal shall have no liability arising therefrom.
14. Dispute Resolution & Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the platform shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) in Columbia, South Carolina, USA, in accordance with its Commercial Arbitration Rules. You waive any right to participate in a class action, class arbitration, or representative proceeding. The arbitrator's award shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.
15. Force Majeure
MSP Disposal shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemic, war, terrorism, labor disputes, government actions, internet or power outages, or carrier disruptions.
16. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and any account-specific agreements, constitute the entire agreement between you and MSP Disposal regarding your use of the platform, superseding all prior agreements and understandings.
18. Modifications
We reserve the right to update these Terms at any time at our sole discretion. Continued use of the platform after changes constitutes acceptance of the revised Terms. We will make reasonable efforts to notify users of material changes via email or platform notification, but failure to provide such notice shall not invalidate the updated Terms.
19. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of South Carolina, United States, without regard to its conflict of law principles. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Richland County, South Carolina.
